The Nomination and Remuneration Committee is tasked with determining the criteria for selecting candidates for members of the Board of Commissioners and the Board of Directors and proposing the system and amount of Remuneration. The Board of Commissioners may nominate candidates for members of the Board of Commissioners and the Board of Directors to obtain the resolutions of the General Meeting of Shareholders (GMS) in accordance with the provisions of the articles of association. The nomination and remuneration committee consists of 1 (one) chairman and 2 (two) members, which through Decree No L007/EPM/BOC/VI/2025, dated June 3, 2025, the composition is as follows:
- Chairman and member: Pre Agusta Suswantoro
- Member: Sanadi Boenjamin
- Member: Gomarus Andre Irawan
The Nomination Committee proposes the names of prospective members of the Company’s Board of Directors to the Board of Commissioners to be proposed at the GMS.
Meanwhile, the Remuneration Committee provides input to the Company’s Board of Commissioners regarding factors that need to be considered in determining salaries and benefits for members of the Company’s Board of Commissioners and Directors. These factors are: the development of the Company’s business, industrial developments run by the Company, as well as the performance of each member of the Company’s Board of Commissioners and Board of Directors.
In general, the Nomination and Remuneration Committee is required to act independently in carrying out its duties and is responsible to the Board of Commissioners.
Nomination and Remuneration Committee Charter
To guide in performing its duties and responsibilities, the Nomination and Remuneration Committee has prepared its Nomination and Remuneration Committee Charter, formally ratified on July 1, 2023. The charter regulates all matters related to the duties and responsibilities of the Nomination and Remuneration Committee as well as standard ethics for members of the Nomination and Remuneration Committee.
