General Meeting of Shareholders (GMS) is a key forum that allows Shareholders to exercise their rights in making strategic decisions related to the Company. Through this forum, Shareholders receive reports on the performance and accountability of the Board of Commissioners and the Board of Directors, approve the Annual Report, and raise questions or provide feedback regarding the actions taken by the management.

In accordance with Law No. 40 of 2007 on Limited Liability Companies, and referring to the latest Financial Services Authority (OJK) Regulation No. 15/POJK.04/2020 concerning the Planning and Implementation of the General Meeting of Shareholders of Public Companies, as well as OJK Regulation No. 16/POJK.04/2020 on the Implementation of Electronic General Meetings, the Company is required to convene:

  • An Annual General Meeting of Shareholders (AGMS) no later than six months after the end of the financial year;
  • An Extraordinary General Meeting of Shareholders (EGMS) at any time deemed necessary to decide on urgent or strategic matters outside the AGMS agenda.

Notices and invitations to the GMS, including the agenda, are published through:

  • The Company's official website;
  • The Indonesia Stock Exchange (IDX) website; and
  • The eASY.KSEI platform (Electronic General Meeting System of KSEI), in line with electronic meeting regulations.

The meeting rules, procedures, and materials are made available on the Company’s website and at the Company’s head office starting from the date of the GMS invitation. Shareholders may also request these materials in writing, in accordance with the applicable provisions.

With the implementation of electronic GMS (e-GMS), Shareholders now have enhanced access to attend, vote, and participate in meetings online, supporting greater accessibility and transparency in corporate governance.
